1. Acceptance of Terms

These Terms of Use (“Terms”, “Agreement”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Client”, “You”, or “User”), and Loomii (“Company”, “We”, “Us”, or “Our”), concerning your access to and use of our website located at loomii.io

as well as our Search Engine Optimization (SEO) outreach, link-building, and backlinking services (collectively, the “Services”).

By accessing the website, engaging our Services, or placing an order, you agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are prohibited from using the site or services and must discontinue use immediately.

2. Description of Services

Loomii provides professional digital marketing solutions specializing in SEO outreach, publisher relation management, digital PR, guest posting, and backlink acquisition services to facilitate authentic link placements on third-party digital properties.

3. User Eligibility & Account Responsibilities

By using our site and Services, you represent and warrant that:

 

    • You are at least 18 years of age or possess legal capacity under Canadian law to enter into binding agreements.

    • All submitted registration, contact, and campaign information is accurate, current, and complete.

    • You hold the legal authority to bind the business entity purchasing the Services.

    • Your use of the Services complies with all applicable Canadian and international laws.

4. Service Scope, Link Placements & Disclaimers

A. Third-Party Webmaster Autonomy

Loomii negotiates backlink inclusions with independent third-party website owners, bloggers, and webmasters (“Publishers”). Clients acknowledge that Publishers maintain ultimate editorial control over their web properties and that Loomii does not own or control third-party websites.

B. Search Engine Guidelines & Disclaimers

 

    • SEO Performance & Ranking Disclaimer: Search engine algorithms (including Google) undergo continuous updates. Loomii makes no guarantees, representations, or warranties—express or implied—regarding specific rank improvements, domain authority gains, organic traffic volumes, sales conversions, or indexing timelines. All services are performed on a commercially reasonable effort basis.

C. Link Maintenance & Replacement Policy

Unless governed by a separate Master Services Agreement (MSA) or Statement of Work (SOW), Loomii offers a standard 12-month link safety policy from the placement date. If a placed backlink is removed, unindexed, or altered by a Publisher within 12 months, Loomii will use commercially reasonable efforts to secure a replacement placement on an equivalent property at no extra cost.

5. Payment Terms, Billing & Cancellation

 

    • Pricing: Fees for outreach packages and link-building services are detailed on loomii.io or in custom proposals. All prices are in Canadian Dollars (CAD) or US Dollars (USD) as specified, exclusive of applicable taxes.

    • Payment Terms: Services are billed on a prepaid basis prior to campaign commencement, unless net payment terms are expressly agreed upon in writing.

    • Taxes: Canadian residents/entities are subject to applicable federal and provincial sales taxes (GST/HST/PST).

    • Refund Policy: Due to the manual labor, content creation, and outreach effort involved, payments are non-refundable once campaign work or publisher outreach has commenced. Undelivered placements will be fulfilled or credited toward future campaigns.

6. Intellectual Property & Materials

All branding, logos, graphics, and content on loomii.io

remain the exclusive property of Loomii. Clients retain ownership of their pre-existing trademarks, content, and target URLs provided for campaigns. When providing materials, clients warrant that such assets do not infringe third-party intellectual property or privacy rights.

7. Prohibited Activities

You agree not to use loomii.io

or our outreach services to:

 

    • Promote illegal activities, adult content, gambling, illegal pharmaceuticals, or hate speech without prior written approval.

    • Attempt to reverse-engineer, decompile, or disrupt the website or technical infrastructure.

    • Deploy automated bots, web scrapers, or unauthorized data mining tools.

    • Engage in deceptive outreach, spamming, or phishing activities that harm publisher relationships.

8. Limitation of Liability

To the maximum extent permitted by Canadian law, Loomii, its directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including lost profits, lost revenue, or business interruption) arising out of or in connection with your use of the website or Services.

Loomii’s total cumulative liability for any claim shall not exceed the total fees paid by you to Loomii for the specific Services giving rise to the claim during the three (3) month period preceding the incident.

9. Indemnification

You agree to defend, indemnify, and hold harmless Loomii, its officers, directors, employees, and contractors from and against any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your breach of these Terms, your client materials, or your violation of third-party rights.

10. Governing Law & Dispute Resolution

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts located in Canada.

11. Modifications & Severability

Loomii reserves the right to modify these Terms at any time by updating this posting on loomii.io

. Your continued use of the Services following modifications constitutes acceptance of the updated Terms. If any provision is found invalid or unenforceable, it shall be severed without affecting the validity of the remaining provisions.
